Charter Closes $2.5 Billion Senior Secured Notes
$800 millionin aggregate principal amount of senior secured notes due 2038 (the "2038 Notes"). The 2038 Notes bear interest at a rate of 5.375% per annum and were issued at a price of 98.846% of the aggregate principal amount. $1.7 billionin aggregate principal amount of senior secured notes due 2048 (the "2048 Notes" and together with the 2038 Notes, the "Notes"). The 2048 Notes bear interest at a rate of 5.750% per annum and were issued at a price of 99.706% of the aggregate principal amount.
The Notes were issued pursuant to an effective automatic shelf registration statement on Form S-3 filed with the Securities and Exchange Commission.
